1. Introduction
1.1 Purpose of the Terms
These Terms of Use ("Terms") set forth the rules and conditions governing the use of the website www.edutalk.net ("Edu.ai" or "the Platform"), which is operated and published by CTM Informatics Software INC. ("we," "our," or "us"). The purpose of these Terms is to define the rights, responsibilities, and obligations of both Edu.ai and the users ("you," "your," or "User") in relation to the AI-powered educational assistance services, digital learning tools, and related technologies offered through the Platform. By outlining the framework for the use of Edu.ai, these Terms aim to ensure transparency, security, and lawful interaction between the Platform and its Users, in compliance with applicable international and local regulations, including but not limited to the Law on the Protection of Personal Data ("KVKK") and relevant Turkish and global data protection laws.
1.2 Acceptance of the Terms
By accessing or using Edu.ai, creating an account, using the Platform, submitting study questions, uploading educational materials, or otherwise interacting with the Platform's AI-based learning features, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with the Privacy Policy and any other supplementary policies or guidelines that may apply. If you do not agree with any provision of these Terms, you must immediately cease using the Platform. Continued use of the Platform constitutes full acceptance of the Terms in force at the time of use.
Users who act on behalf of legal entities declare and warrant that they are duly authorized to accept these Terms on behalf of their organization.
1.3 Updates and Modifications
Edu.ai reserves the right to update, revise, or modify these Terms at any time, at its sole discretion. Such modifications may reflect changes in our services, the introduction of new features, compliance with legal requirements, or updates to operational practices. All revisions will be published on the official website, and the "Last Updated" date at the top of the document will indicate the effective version. Users are encouraged to review these Terms periodically. Continued use of the Platform following any modification shall be deemed to constitute acceptance of the updated Terms. If a User does not agree with the revised version, their sole remedy is to discontinue use of the Platform.
2. About Edu.ai
2.1 Platform Overview
Edu.ai is an AI-powered educational learning assistant designed to help students understand academic subjects clearly, simply, and at their own pace. The Platform enables Users to interact with an AI tutor by typing or speaking questions about any subject matter, uploading PDFs, photos, or slides of study materials, and receiving detailed step-by-step explanations tailored to their level. Edu.ai covers more than fifty (50) academic subjects — including Mathematics, Science, Languages, History, Economics, and Geography — and is available twenty-four (24) hours a day, seven (7) days a week.
The Platform operates as an informational and educational guidance tool. Edu.ai does not sell physical goods or educational products in a tangible form; it provides access to AI-based learning tools that operate on a free and subscription-based model. Edu.ai is not a licensed educational institution, does not employ accredited teachers or examiners, and does not issue official academic qualifications or certifications. All guidance provided through the Platform is for learning support and informational purposes only.
2.2 Publisher Information
Edu.ai is owned, developed, and operated by CTM Informatics Software INC. Edu.ai is responsible for the technical infrastructure, operation, and maintenance of the Platform. While Edu.ai ensures the stability and security of its infrastructure, the AI models and outputs accessible through the Platform may be powered by third-party AI providers whose technologies are integrated via APIs or other data exchange mechanisms.
2.3 Target Audience and Global Scope
Edu.ai is designed for students of all ages and educational levels worldwide who seek accessible, AI-assisted guidance for learning and academic understanding. The Platform's services are available internationally, and Users from all jurisdictions are welcome to register and utilize the Platform, provided that their use complies with applicable local laws and regulations.
Given the cross-border nature of AI technologies and data processing, Edu.ai emphasizes transparency, ethical standards, and lawful use in all interactions with Users, regardless of their location. By engaging with the Platform, Users acknowledge that their activities may involve international data transfers and processing as part of the Platform's global operational model.
2.4 Educational Disclaimer
IMPORTANT: Edu.ai is not a substitute for formal education, accredited teachers, or certified academic programs. The AI-generated explanations and guidance provided through the Platform are intended solely to help students better understand academic subjects, practice problem-solving, and supplement their existing studies. Edu.ai does not issue grades, diplomas, certificates, or any form of official academic recognition. Users must always consult their teachers, academic advisors, or educational institutions for formal academic decisions. Edu.ai expressly disclaims any liability arising from reliance on Platform guidance in lieu of formal academic instruction.
3. Account Registration and Access
3.1 User Eligibility
Use of Edu.ai is open to natural persons of all ages. Users under the age of thirteen (13) may only use the Platform with the express consent and under the direct supervision of a parent or legal guardian. Users between the ages of thirteen (13) and eighteen (18) may use the Platform subject to parental or guardian awareness. By registering an account or otherwise using the Platform, adult Users represent and warrant that they have the full legal capacity and authority to enter into and comply with this binding agreement.
Parents or legal guardians who consent to a minor's use of the Platform accept full responsibility for the minor's account activity and compliance with these Terms. Edu.ai reserves the right to require proof of age or parental consent at any time and to restrict access where such proof is not provided or verified.
If you are using the Platform on behalf of a company, organization, or other legal entity, you further represent and warrant that you are duly authorized to act for and bind that entity to these Terms.
3.2 Account Creation and Security
Certain features of Edu.ai, including saving learning history and managing a subscription, require the creation of a personal account. During registration, Users must provide accurate, complete, and current information, including their email address and a password. Any use of false, misleading, or impersonated information may result in immediate account suspension or termination.
Each User is solely responsible for safeguarding their login credentials. Edu.ai strongly encourages Users to adopt strong and unique passwords. You agree not to disclose your credentials to any third party or allow others to use your account. Edu.ai shall not be liable for any unauthorized access or actions performed through your account resulting from your failure to maintain adequate security controls.
Users must immediately notify Edu.ai at support@edutalk.net of any suspected unauthorized use, security breach, or compromise of their account credentials.
Please note that Edu.ai also allows limited use without account creation. Users who access the Platform without an account may use the free learning features as described in Section 4.1. Features requiring account persistence, such as subscription management and saved learning history, require account registration.
3.3 Account Responsibilities
Users are fully and solely responsible for all activities carried out under their account. By using the Platform, you agree to operate in good faith and only for lawful and ethical purposes consistent with these Terms and all applicable laws. Users agree not to share, lease, sell, sublicense, or otherwise transfer their account access to any third party without Edu.ai's prior written approval.
Users are also responsible for ensuring that all uploaded content, study materials, photos, PDFs, and documents used in connection with AI guidance comply with applicable copyright, trademark, and data privacy regulations. Edu.ai disclaims any responsibility for content submitted by Users and assumes no liability for damages, legal claims, or losses resulting from such activity.
3.4 Account Suspension or Termination
Edu.ai reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account if it determines that the User has violated these Terms, engaged in fraudulent, unlawful, or abusive activity, or acted in a way that threatens the security, integrity, or reputation of the Platform.
Edu.ai may also terminate access if required by law, government order, or regulatory authority. Users will be notified where appropriate, unless prohibited by law or necessary for security reasons.
Users may voluntarily terminate their account at any time through the Platform's user interface or by submitting a written request to Edu.ai. Upon termination, whether voluntary or initiated by Edu.ai, all rights to access the Platform and its services shall cease immediately. Any active subscription will be cancelled at the end of the current billing cycle in accordance with the cancellation policy set out in Section 4.5.
4. Free Access and Subscription Terms
4.1 Free Tier
Edu.ai offers a Free tier of access at no charge. The Free tier provides Users with access to the core AI learning assistant functionality, including the ability to ask questions across all supported subjects and receive step-by-step explanations. The Free tier is available to all Users, including those without a registered account, and is provided on an as-is basis.
Free tier access may be subject to usage limitations, feature restrictions, or usage caps at Edu.ai's sole discretion. Edu.ai reserves the right to modify, limit, or discontinue the Free tier at any time without prior notice or compensation.
4.2 Premium Subscription
The Premium subscription is available at a price stated on the Platform and provides Users with expanded access to advanced features and capabilities. While the precise scope of Premium features may be updated from time to time, Premium subscribers generally benefit from enhanced AI tutoring capabilities, priority access to new features such as Voice Tutoring and PDF/photo upload and analysis, and any additional tools or content as made available on the Platform.
The Premium subscription is a recurring, automatically renewing subscription. By subscribing, you expressly authorize Edu.ai to charge your selected payment method at the beginning of each billing cycle until you cancel your subscription. Edu.ai reserves the right to update subscription pricing with advance notice to Users, as further described in Section 4.4 below.
4.3 Payment Methods and Processing
All payments for the Premium subscription are processed through authorized third-party payment processors integrated into the Platform. Accepted payment methods include internationally recognized credit and debit cards and other payment options as presented at checkout. By completing a subscription purchase, the User expressly authorizes Edu.ai and its designated payment partners to debit the total subscription amount from the selected payment method on a recurring basis.
Users are responsible for ensuring that their payment information is accurate, valid, and current. In the event of a declined payment, Edu.ai may suspend or downgrade the User's subscription until payment is successfully processed. Repeated failed payment attempts may result in account restriction. Third-party payment processors operate under their own terms of service and privacy policies, which Users are encouraged to review. All financial data is transmitted via encrypted communication channels in compliance with applicable payment security standards.
4.4 Pricing Changes
Edu.ai reserves the right to revise subscription pricing at any time. Any pricing changes will be communicated to active subscribers in advance via email or in-Platform notification prior to the next billing date. Continued use of the Premium subscription after the effective date of a price change constitutes acceptance of the new pricing. If a User does not agree with the revised pricing, they may cancel their subscription before the price change takes effect.
4.5 Cancellation Policy
Users may cancel their Premium subscription at any time through their account dashboard prior to the next billing date. Cancellation will take effect at the end of the current billing cycle. The User will retain access to Premium features until the end of the paid period. No partial refunds will be issued for the unused portion of a billing cycle.
4.6 Refund Policy
All subscription purchases are generally considered final and non-refundable given the digital and immediately accessible nature of the service. However, Edu.ai may, at its sole discretion, consider refund requests on a case-by-case basis in exceptional circumstances, such as:
- A duplicate charge caused by a verified technical error;
- Failure of Premium features to activate following successful payment; or
- A confirmed unauthorized transaction conducted without the User's consent.
Users requesting a refund must submit a written request to support@edutalk.net within fourteen (14) days of the transaction date, providing proof of payment, transaction details, and a description of the issue. Refunds, where approved, will be processed to the original payment method within a reasonable period, typically not exceeding thirty (30) business days.
Refunds will not be granted for dissatisfaction with the AI learning guidance quality or outputs, as the nature and scope of AI-generated explanations are inherently variable and are disclosed in these Terms and the educational disclaimer. Edu.ai expressly disclaims any obligation to provide refunds resulting from service interruptions, internet connectivity issues, or third-party system outages beyond its reasonable control.

4.7 Currency and Taxation
All transactions on Edu.ai are processed in United States Dollars (USD) unless otherwise indicated on the Platform. Users are responsible for any currency conversion or bank fees applied by their financial institution. Users are solely responsible for determining and paying any taxes that may arise from their use of the Platform or purchase of subscriptions, including value-added tax (VAT), goods and services tax (GST), or other levies. Edu.ai reserves the right to collect or withhold taxes as required by applicable law.
5. AI-Based Educational Services
5.1 Scope of AI Services
Edu.ai provides Users with access to an AI-powered educational assistant that enables conversational and interactive learning across a broad range of academic subjects. The Platform's AI capabilities include, but are not limited to:
- Clear, step-by-step explanations of academic concepts, adapted to the User's level of understanding;
- Guided problem-solving in subjects including Mathematics, Physics, Chemistry, and other sciences;
- Grammar correction, writing support, and essay structure guidance for language subjects;
- Historical, economic, and geographical analysis and explanations;
- Voice Tutoring — allowing Users to ask questions verbally and receive spoken explanations (where available);
- Upload and analysis of PDFs, photographs, slides, or other study materials (where available);
- Practice questions and examples to reinforce understanding; and
- Newsletter subscription for study tips and educational resources.
The Platform continuously evolves by integrating new AI capabilities and service modules. Users acknowledge that AI models are based on probabilistic algorithms and datasets that may not always produce fully consistent or expected outcomes. The AI tools are intended for lawful, informational, and educational use only.
5.2 Nature and Limitations of AI Guidance
Users expressly acknowledge and agree that all guidance provided by the Edu.ai AI system is:
- Informational and educational in nature, intended to help Users understand academic material and improve their knowledge;
- Not a substitute for formal academic instruction, certified educational professionals, or official academic programs;
- Not a guarantee of academic accuracy or completeness, as AI-generated outputs are probabilistic and based on patterns in training data; and
- Not tailored to account for all individual educational variables, such as specific curriculum requirements or examination standards applicable to a User's institution.
Edu.ai does not warrant that AI-generated guidance will be accurate, timely, or free from error. Users should always verify important academic information with their teachers or official educational resources.
5.3 Photo, PDF, and Document Upload
The Platform allows Users to upload photos, PDFs, presentation slides, and other study materials for AI-assisted analysis and explanation. By uploading such materials, Users represent and warrant that: (a) the content is their own or they have lawful authority to submit it; (b) the content does not infringe any third-party intellectual property rights; and (c) the content does not contain personal data of third parties without appropriate consent.
Edu.ai may process uploaded materials solely for the purpose of delivering the requested educational guidance. Uploaded materials must not include any unlawful, harmful, or inappropriate content.
5.4 Voice Tutoring
The Voice Tutoring feature allows Users to interact with the AI learning assistant through spoken language. By using this feature, Users consent to the real-time processing of their voice input by the Platform and, where applicable, by third-party voice processing systems. Voice data is processed solely for the purpose of delivering the requested educational service and is subject to Edu.ai's Privacy Policy.
5.5 Third-Party AI Integrations
The AI functionalities offered on Edu.ai may be powered in whole or in part by third-party AI service providers. By using Edu.ai, Users acknowledge and consent that certain data, including queries, uploaded materials, and account information, may be temporarily transmitted to or processed by third-party systems solely for the purpose of fulfilling the requested service.
Edu.ai disclaims liability for any interruption, delay, inaccuracy, or degradation of service resulting from third-party system failures, provider updates, or discontinued models.
5.6 Technical Limitations and No Warranty
Edu.ai makes no warranty, express or implied, regarding the accuracy, completeness, originality, or fitness for purpose of any AI-generated educational guidance. Users understand that AI systems may occasionally produce content that is incomplete, contextually inaccurate, or inconsistent with the specific curriculum or academic standards applicable to the User.
It remains the User's sole responsibility to verify AI-generated guidance and consult qualified educational professionals before acting on any such guidance in a formal academic context.
6. User-Generated Content and Responsibilities
6.1 Uploading Materials and Submitting Questions
By submitting content, Users grant Edu.ai a limited, non-exclusive, revocable, and royalty-free license to process, store, and use the uploaded materials solely for the purpose of delivering the requested AI educational service or improving Platform performance. This license does not grant Edu.ai any ownership or publication rights beyond those necessary to operate the Platform.
Users must ensure that all uploaded materials are lawful, free from harmful code, and do not infringe on the rights of any third party. Edu.ai is not obliged to actively monitor all uploaded materials and assumes no liability for any content provided by Users.
6.2 Legal Use and Compliance
All activities conducted on Edu.ai must comply with all applicable local, national, and international laws. The Platform may not be used for any activity that is illegal, unethical, or intended to deceive. Users are prohibited from submitting content to obtain answers for use in examinations, assessments, or academic submissions where AI assistance is expressly prohibited by the relevant institution or examination body.
6.3 Prohibited Uses and Content
Users are strictly prohibited from using Edu.ai to:
- Violate or circumvent any law, regulation, or binding court order;
- Infringe upon any copyrights, trademarks, trade secrets, or other intellectual property rights;
- Engage in academic fraud, plagiarism, or any form of cheating in examinations or institutional assessments;
- Submit false, misleading, or manipulative queries with the intent to generate harmful or deceptive content;
- Attempt to reverse-engineer, decompile, or extract the source code, datasets, or architecture of any AI model used by the Platform;
- Scrape, harvest, or mass-download content from the Platform;
- Bypass usage restrictions or subscription systems; or
- Engage in unauthorized automation or bot activity.
Any such action constitutes a material breach of these Terms and may result in immediate account suspension or termination, forfeiture of any subscription access, and potential legal action.
6.4 Intellectual Property in Submitted Content
Users retain full ownership and control over the input materials they upload to the Platform. Edu.ai does not claim ownership of any content submitted by Users. The underlying AI models, algorithms, interfaces, and all proprietary Platform components remain the exclusive intellectual property of Edu.ai or its licensors.
6.5 User Liability and Indemnification
Users are fully, solely, and irrevocably liable for all content they upload, submit, or otherwise make available through the Platform. By submitting inputs and using the Platform's AI tools, the User expressly agrees to indemnify, defend, and hold harmless Edu.ai, its affiliates, officers, directors, employees, licensors, agents, and partners from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: any content uploaded or submitted by the User; the User's misuse or unauthorized use of the Platform; any violation of these Terms or applicable law; any infringement of intellectual property, privacy, or data protection rights of a third party; and any fraudulent, abusive, or negligent behavior by the User in connection with the Platform or its services.
7. Platform Responsibilities and Limitations
7.1 Service Availability
Edu.ai endeavors to provide continuous and reliable access to the Platform on a twenty-four (24) hour, seven (7) day per week basis. However, availability may be affected by maintenance, upgrades, network failures, or events beyond Edu.ai's reasonable control. Users acknowledge that occasional downtime or performance fluctuations are inherent to online services and do not entitle them to compensation or refunds.
7.2 Data Protection and Security
Edu.ai is committed to safeguarding User data in accordance with the Law on the Protection of Personal Data (KVKK), the General Data Protection Regulation (GDPR), and other applicable privacy frameworks. The Platform employs encryption, secure access controls, and risk-based data management practices to protect personal information.
However, Users understand that no online system is entirely immune to security breaches, and Edu.ai cannot guarantee absolute data security. Users are responsible for maintaining the confidentiality of their credentials.
7.3 Disclaimer of Liability for AI Outputs
To the maximum extent permitted by applicable law, Edu.ai and all AI-based services are provided "as is," "as available," and "with all faults." Edu.ai, its affiliates, licensors, and service providers make no warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, academic accuracy, or reliability of results.
Edu.ai shall not, under any circumstances, be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to: (a) the use of or inability to use the Platform; (b) errors or limitations in AI-generated guidance; (c) reliance on Platform guidance in lieu of formal academic instruction; (d) unauthorized access or data breaches; (e) service interruptions or software malfunctions; or (f) failures of third-party integrations.
In jurisdictions that do not permit the exclusion of certain liabilities, Edu.ai's total cumulative liability shall not exceed the total amount paid by the User for subscription services in the three (3) months preceding the event giving rise to the claim.
8. Data Privacy and Processing
8.1 Data Collection and Purpose
For further information regarding data collection, processing, storage, and your rights, please refer to the Privacy Policy and Cookie Policy documents available on Edu.ai.
8.2 User Learning Data
Edu.ai collects and processes information related to a User's learning activity, including subject queries, uploaded study materials, and interaction history with the AI assistant. This data is used exclusively to provide personalized AI educational guidance, improve the Platform's AI models, and maintain learning history for registered Users. Edu.ai treats User learning data with the same care and security measures applied to personal data and does not sell or share such data with third parties for commercial purposes except as disclosed in its Privacy Policy.
8.3 Uploaded Photos, PDFs, and Documents
Photos, PDFs, slides, and other documents uploaded by Users are processed solely for the purpose of delivering the requested educational guidance. Edu.ai may retain uploaded materials temporarily in accordance with its data retention policy. Users may request deletion of their uploaded content by contacting Edu.ai at support@edutalk.net.
8.4 Newsletter and Email Communications
Users who subscribe to Edu.ai's newsletter provide their email address for the purpose of receiving weekly study tips, learning strategies, and educational resources. Email subscriptions are entirely voluntary and Users may unsubscribe at any time by following the unsubscribe link included in each communication.
8.5 Cookies and Analytics
Edu.ai uses essential cookies to ensure the proper functioning of the Platform and analytics cookies (including Google Analytics) to understand how Users interact with the Platform and improve the user experience. Users may manage their cookie preferences through the cookie consent banner displayed on the Platform. For full details, please refer to the Cookie Policy.
8.6 User Rights
For information on how to exercise your rights of access, rectification, erasure, restriction of processing, and data portability, please refer to the Privacy Policy. Users may submit requests via email to support@edutalk.net.
8.7 Compliance with KVKK and GDPR
Edu.ai processes personal data in strict accordance with the Law on the Protection of Personal Data (No. 6698 – KVKK), the EU General Data Protection Regulation (GDPR), and relevant international standards. The lawful bases for processing include: (a) necessity for the performance of a contract; (b) compliance with legal obligations; (c) protection of legitimate interests; and (d) consent provided by the User where applicable.
Users have the right to lodge complaints with their local data protection authority or, in Turkiye, with the Personal Data Protection Authority (KVKK) if they believe their data has been mishandled.
9. Intellectual Property Rights
9.1 Platform Content
All materials available on Edu.ai — including but not limited to the website design, graphical elements, user interface, layout, text, illustrations, source code, software frameworks, databases, and documentation — are the exclusive property of Edu.ai or its licensors and are protected under applicable copyright, trademark, patent, and trade secret laws.
Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform strictly for personal, non-commercial educational use in accordance with these Terms.
9.2 Trademarks and Branding
All logos, trademarks, service marks, trade names, and branding elements appearing on the Platform, including the "Edu.ai" name and logo, are and shall remain the exclusive property of Edu.ai or its affiliates. Users are strictly prohibited from using, reproducing, or otherwise exploiting Edu.ai's trademarks or branding materials without prior written authorization.
9.3 AI Output Usage Rights
Subject to compliance with these Terms, Users shall retain personal usage rights over AI-generated educational guidance outputs received through their lawful use of Edu.ai. However, Users acknowledge that AI-generated outputs are informational and educational in nature and may not qualify for intellectual property protection in all jurisdictions. Users may not reproduce, commercialize, or redistribute AI-generated content in bulk or for commercial purposes without prior written consent.
10. Limitation of Liability
10.1 Platform as an AI Educational Tool
Edu.ai operates solely as a technological intermediary that facilitates access to AI-based educational assistance tools. The Platform does not function as a licensed educational institution, academic publisher, or certified training provider.
10.2 Exclusions and Limitations
To the maximum extent permitted by law, Edu.ai, its affiliates, employees, and licensors disclaim all liability for any form of loss, damage, or injury, whether direct, indirect, incidental, consequential, exemplary, or punitive, arising out of or related to: the use of or inability to use the Platform; reliance on AI-generated guidance; errors or limitations in AI-generated outputs; unauthorized access or data breaches; service interruptions or software malfunctions; failures of third-party integrations; or data loss, corruption, or deletion of content.
In no event shall Edu.ai's total aggregate liability to any User exceed the total amount paid by that User for subscription services within the three (3) months immediately preceding the event giving rise to the claim.
10.3 Indemnification
Users agree to indemnify, defend, and hold harmless Edu.ai, its affiliates, officers, directors, employees, agents, licensors, and service partners from and against any and all claims, demands, actions, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: the User's use or misuse of the Platform; any violation of these Terms or applicable law; any breach of intellectual property, privacy, or proprietary rights by the User; or misuse of third-party intellectual property accessed via the Platform.
11. Termination and Account Closure
11.1 Termination by User
Users may terminate their Edu.ai account at any time by following the in-platform deletion process or by submitting a written request to support@edutalk.net. Upon termination, all access to the Platform and associated services will cease immediately. Any active Premium subscription will be cancelled at the end of the current billing cycle, and no partial refunds will be issued. Any stored data, learning history, or AI-generated guidance history may be permanently deleted in accordance with Edu.ai's data retention policy.
11.2 Termination by Platform
Edu.ai reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account for reasons including, but not limited to:
- Violation of these Terms or other applicable policies;
- Use of the Platform for illegal, unethical, or harmful purposes;
- Academic fraud, unauthorized use of AI assistance in formal assessments, or facilitation thereof;
- Fraudulent transactions, payment reversals, or chargebacks;
- Interference with Platform operations or security systems; or
- Compliance with legal, regulatory, or governmental orders.
In the event of termination for cause, all subscription access may be forfeited without refund or compensation.
11.3 Consequences of Termination
Upon termination, all rights and licenses granted under these Terms shall immediately cease. Any obligations that by their nature are intended to survive termination — including those related to intellectual property, limitation of liability, indemnification, and dispute resolution — shall remain in full effect.
12. Dispute Resolution and Governing Law
12.1 Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkiye, without regard to its conflict of law principles.
12.2 Dispute Resolution
In the event of any dispute arising out of or relating to the use of the Platform, the parties shall first seek to resolve the matter amicably through negotiation. Users are encouraged to contact support@edutalk.net to initiate an internal resolution process before pursuing any formal remedy.
If the dispute cannot be resolved amicably within thirty (30) days:
- For Consumer Users: Disputes shall first be submitted to the Consumer Arbitration Committee with jurisdiction over the User's place of residence, in accordance with Turkish Consumer Protection Law (Law No. 6502).
- For Commercial or International Users: Any dispute shall be finally settled by arbitration under the Istanbul Arbitration Centre (ISTAC) Arbitration Rules. The seat of arbitration shall be Istanbul, Turkiye.
12.3 Alternative Dispute Resolution
Before initiating formal legal proceedings, the parties shall make reasonable efforts to resolve disputes amicably through negotiation or mediation. Edu.ai may, at its discretion, propose mediation via an independent dispute resolution service based in Turkiye.
13. Miscellaneous Provisions
13.1 Entire Agreement
These Terms, together with Edu.ai's Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between the User and Edu.ai concerning the use of the Platform and supersede all prior understandings, communications, or agreements, whether written or oral.
13.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
13.3 Waiver
No waiver by Edu.ai of any term, breach, or default shall be deemed a waiver of any subsequent breach or of the same or similar nature unless expressly stated in writing.
13.4 Assignment
Users may not assign, transfer, or delegate any rights or obligations under these Terms without Edu.ai's prior written consent. Edu.ai may assign or transfer its rights and obligations to any affiliate, successor, or acquirer as part of a merger, reorganization, or sale of assets.
